These terms govern your use of the Output IQ website and platform. By using them, you agree to these terms. Please read them carefully.
About these terms
These terms form an agreement between you and [ Company name ] Ltd, a company registered in England & Wales (company no. [ 00000000 ]), registered office [ address ]. If you're agreeing on behalf of a business, you confirm you have authority to do so.
The service
Output IQ provides automated ERP, real-time data and connected sensors to businesses on a subscription basis. We may improve, change or add to the service over time, and will give reasonable notice of material changes.
Accounts
You're responsible for keeping account credentials secure, for the users you add, and for the accuracy of the information you provide. Tell us promptly if you suspect any unauthorised use.
Subscriptions, fees and billing
Pricing is per user, as set out in your plan or order. Terms are rolling and monthly by default; annual billing is optional. Subscriptions continue until cancelled in line with your plan — there's no minimum term and no lock-in. Fees are exclusive of VAT unless stated. We may suspend access for non-payment after reasonable notice.
Acceptable use
You agree not to:
- Use the service unlawfully or for any unlawful purpose.
- Interfere with, disrupt or attempt to gain unauthorised access to the service.
- Copy, reverse-engineer or attempt to extract the source code of the platform.
- Resell or make the service available to third parties without our permission.
- Upload malicious, infringing or unlawful content.
Your data
You keep ownership of the data you upload. You grant us the licence we need to process it in order to provide the service. Where we process personal data on your behalf, we do so in line with our Privacy Policy and, where applicable, a data processing agreement. You can export your data, and we'll provide a reasonable window to do so on termination.
Hardware and sensors
Where we supply sensors or hardware, additional terms and charges may apply, and title and risk pass as set out in your order.
Intellectual property
We (and our licensors) own the platform and all related intellectual property. During your subscription we grant you a limited, non-exclusive, non-transferable licence to use it for your business.
Availability and support
We aim to keep the service available and performing well, but we don't guarantee it will be uninterrupted or error-free. Support is provided in line with your plan.
Warranties and liability
To the extent permitted by law, the service is provided "as is". Nothing in these terms excludes liability that cannot lawfully be excluded (such as for death or personal injury caused by negligence, or for fraud). Subject to that, our total liability is limited to the fees you paid in the 12 months before the claim, and we are not liable for indirect or consequential loss, or loss of profit, revenue or data.
Term and termination
Either party may end the subscription in line with your plan. We may suspend or end access if you breach these terms. On termination your right to use the service ends, and the data-export window in "Your data" applies.
Changes to these terms
We may update these terms from time to time. We'll flag material changes, and continued use after they take effect means you accept them.
Governing law
These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction. Questions? Contact [ hello@output-iq.com ].
